Confidentiality and Non-Disclosure Terms

The following provisions are excerpted from the Trusted Doctors Alliance Participation Services Agreement. By proceeding with this enrollment form, you acknowledge that you will be bound by these confidentiality and data security standards regarding proprietary program information, supplier pricing, and agreement terms.

Confidentiality

  • Non-Disclosure: Both Parties shall maintain the confidentiality of sensitive, proprietary and other confidential information (collectively, “Confidential Information”) disclosed under this Agreement including, without limitation, each Supplier Agreement and all provisions, terms, and conditions of each Supplier Agreement, the Confidential Addendum, any documents, information, or materials relating to the prices, terms, or conditions of any Covered Products and Services in any Supplier Agreements, and any Company programs, services and agreements of a proprietary or sensitive nature not readily available through sources in the public domain (including, but not limited to, this Agreement). Participant shall keep Confidential Information strictly confidential in accordance with the Supplier Agreements and hold such Confidential Information in trust. Participant shall not use Confidential Information for any purpose other than to effectuate the purposes of this Agreement. Participant shall not disclose Confidential Information to any third party without Company’s prior written consent and shall only do so in strict accordance with the applicable Supplier Agreements, including, if applicable, with the prior written consent of Supplier. Confidential Information shall not be disclosed without prior written consent, except as required by law.

  • Data Security: Company and Participant shall comply with all state and federal laws and regulations regarding the confidentiality and disclosure of protected patient information, including, but not limited to, the Health Insurance Portability and Accountability Act and the regulations promulgated thereunder (collectively, “HIPAA”). Participant shall notify Company promptly of any suspected data breach.

  • Remedies: Any unauthorized use or disclosure of Confidential Information shall entitle the disclosing Party to injunctive relief, in addition to any other remedies.

Group Purchasing Confidentiality

  • Company and contracted suppliers, vendors and manufacturers may occasionally provide materials and information to Participant regarding Covered Products and Services.

  • Participant and Company shall keep the terms and conditions of this Agreement, including this Exhibit C, confidential except as required for compliance with an applicable Company Safe Harbor.

  • Upon execution of this Agreement, Company will make available to Participant the terms and conditions of each current Supplier Agreement to the extent permitted and will provide a Confidential Addendum summarizing certain terms, which may be updated periodically. Participant acknowledges and agrees to review, comprehend, and abide by the terms and conditions of each Supplier Agreement and to treat all such information as Confidential Information.

  • Participant understands that Trusted Doctors MSO, LLC’s contracted vendors may share purchasing data with Trusted Doctors MSO, LLC.

Termination Obligations

  • Effect of Termination: Both Parties must return or destroy any Confidential Information of the other Party.
